General Terms and Conditions

The legal framework for using our services in the field of video content and online marketing.

1. Scope and Subject Matter of the Contract

These General Terms and Conditions (GTC) govern the legal relationship between videogone.com (hereinafter "Provider") and its customers (hereinafter "Customer") in connection with the creation, provision, and optimization of video content for marketing and SEO purposes.

The subject matter of the contract includes services such as the conception, production, editing, and publication of video content as well as its strategic integration into online marketing campaigns and search engine optimization (SEO).

2. Rights and Obligations of the Contracting Parties

2.1 Obligations of the Provider

The Provider undertakes to perform the agreed services carefully, expertly, and in accordance with the current state of the art. This includes consulting on the effective use of video content on various platforms.

  • Timely provision of the agreed services.
  • Compliance with agreed specifications and quality standards.
  • Regular communication regarding project status.

2.2 Obligations of the Customer

The Customer is obliged to provide all information, materials, and access (e.g., to social media platforms) necessary for the fulfillment of the contract in a timely and complete manner.

  • Provision of correct and complete information.
  • Timely approval of concepts and intermediate results.
  • Payment of the agreed remuneration in accordance with the payment terms.
3. Limitations of Liability

The Provider is fully liable for intent and gross negligence. In the case of slight negligence, liability is limited to the typical, foreseeable damage, unless essential contractual obligations are breached.

The Provider does not guarantee specific placements in search engines (rankings), specific increases in visitor numbers, or the commercial success of the marketing measures. Developments in the field of SEO and on marketing platforms are subject to constant changes that are outside the Provider's sphere of influence.

Liability for indirect damages, lost profits, or data loss is excluded to the extent permitted by law.

4. Remuneration and Payment Terms

Remuneration is in accordance with the individual agreement in the quotation or order. All prices are plus statutory value-added tax.

Invoices are due within 14 days of the invoice date without deduction, unless otherwise agreed. In the event of late payment, the Provider reserves the right to suspend the provision of services.

5. Contract Duration and Termination

The contract duration is determined by the respective agreement (project contract or ongoing support).

The right to terminate without notice for good cause remains unaffected for both parties. Good cause exists in particular in the event of serious breaches of contract, the Customer's payment delay of more than 30 days, or an application for insolvency.

For project-related orders, the contract ends upon acceptance of the agreed services.

6. Final Provisions

The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). The place of jurisdiction for all disputes, to the extent permitted by law, is the registered office of the Provider.

The Provider reserves the right to amend these GTC with a notice period of four weeks. The Customer will be informed of changes in writing or by email. If the Customer does not object to the change within four weeks of receipt of the notification, the amended terms shall be deemed accepted.
